These Terms of Service explain the rules and conditions that govern your access to and use of Morphic’s website, products, and services. By using Morphic, you agree to these terms.
Acceptance of terms
By creating an account or otherwise accessing Morphic, you agree to these Terms of Service and our Privacy Policy. If you use Morphic on behalf of a company or organization, you confirm that you have the authority to bind that organization to these Terms.
Eligibility
To use Morphic, you must:
Be at least 18 years old, or the age of majority in your jurisdiction
Have the legal authority to enter into a binding agreement
Not be prohibited from using our services under applicable law
Changes to these Terms
We may update these Terms from time to time to reflect changes in our services or legal requirements. We will provide reasonable notice of material changes, and continued use of Morphic after changes take effect constitutes your acceptance of the revised Terms.
Using our services
Morphic grants you a limited, non-exclusive, non-transferable license to access and use our products and services for your internal business or personal purposes, subject to these Terms.
Acceptable Use
You agree not to:
Use Morphic for any unlawful, harmful, or fraudulent purpose
Attempt to gain unauthorized access to any account, system, or network
Interfere with or disrupt the integrity or performance of the platform
Upload malicious code, viruses, or harmful content
Reverse engineer, decompile, or attempt to extract source code
Resell, sublicense, or redistribute the service without our written consent
Service Availability
We work to keep Morphic available and reliable, but we do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the service at any time, with or without notice.
Your account
To access most features of Morphic, you’ll need to create an account. You are responsible for maintaining the accuracy of your account information and the security of your credentials.
Account Security
You agree to:
Keep your password confidential and secure
Notify us promptly of any unauthorized use of your account
Take responsibility for all activity that occurs under your account
Workspace Administration
If your account belongs to an organization’s workspace, the workspace administrator may control settings such as member access, permissions, and data retention. Morphic is not responsible for decisions made by workspace administrators.
Your Content
You retain ownership of the content you upload to Morphic. By using our services, you grant Morphic a limited license to host, store, and display your content solely for the purpose of providing the service to you.
Enterprise agreements take priority
If your organization has signed a separate enterprise or custom agreement with Morphic, the terms of that agreement will govern in the event of a conflict with these Terms of Service.
Payment and billing
Certain Morphic plans require payment of fees. By subscribing to a paid plan, you agree to pay all applicable fees as described at the time of purchase.
Billing
Unless otherwise stated:
Subscription fees are billed in advance on a recurring basis
Fees are non-refundable except where required by law
Prices may change with reasonable advance notice
You are responsible for any applicable taxes
Late or Failed Payments
If a payment fails or is not received, we may suspend or limit access to paid features until the outstanding balance is resolved.
Free Trials
Free trials, where offered, automatically convert to a paid subscription at the end of the trial period unless cancelled beforehand.
Termination
You may stop using Morphic and close your account at any time through your account settings.
We may suspend or terminate your access to Morphic if you:
Violate these Terms of Service
Engage in fraudulent, abusive, or unlawful activity
Fail to pay applicable fees
Pose a security risk to Morphic or other users
Effect of Termination
Upon termination, your right to use Morphic ends immediately. We may delete your account data after a reasonable period, except where retention is required by law. Sections of these Terms that by their nature should survive termination will continue to apply.
